BYLAWS
ARTICLE I
NAME
Section 1.
The organization shall be known as
Wilson County Youth Athletic Association, Inc.
ARTICLE II
HEADQUARTERS
Section 1.
The Wilson County Youth Athletic Association shall
meet at the Wilson Recreation Department.
ARTICLE III
OBJECTIVES
Objectives of the
“Association:” shall be stated in Articles of Incorporation and more
specifically:
Section 1.
Dedicated to developing better citizens by providing properly
supervised youth athletic activities.
Section 2.
To organize and promote athletic
programs for community youth, regardless of race, religion, sex or national
origin.
Section
3.
To encourage study, discussion,
research and analysis on all athletic matters and product activities and
conferences as selected and approved by the commission.
Section
4.
To promote the development of motor
skills and emphasize the value of athletic-recreational programs as a part of
the total socialization process of the individuals.
Section
5.
To develop sportsmanship as winners
and losers.
Section
6.
To develop other traits of character
such as self-reliance, courtesy, kindness, loyalty, honesty, cooperation and
initiative.
ARTICLE IV
GOVERNMENT
Section
1.
A president, Vice-President,
Secretary and Treasurer shall constitute the elected officers of the Wilson
county Youth Athletic Association, Inc. (These elected officers will be the
Executive Officers) (Revised June 6, 1996)
Section
2.
The elected officers shall be voted
into office annually at the February meeting.

Section
3.
The President shall preside at all
meetings. The President will vote only
in case of a tie vote. (Revised June

Section
4.
The Vice President shall fulfill the
President’s duties only in the absence of the President. (Revised June 6, 1996)
Section
5.
The Secretary is to keep notes and
records on any meetings. The duties
include taking and reading out minutes at each meeting also being sure each
Director receives a copy within one week.
Section
6.
The Treasurer is to handle all
money. He/she is to keep an accurate
record of deposits and withdrawals.
He/She is to give a report at each meeting and any information that a board
member should request. (Revised June

Section
7.
Each
community shall have two (2) representatives as a Board of Directors. Communities are as follows: Lee Woodard,
Section
8.
The officers and the Directors will
be volunteers. Volunteers meaning no
salaries.
Section
9.
The Board will also act as a League
Decisions Committee. This Committee,
with the President presiding, will receive and resolve all protests lodged
during the playing of league games.
Section
10.
At any game that is protested, the
team protesting should inform the official in charge that the game is being
played under protest from the incident on.
Officials shall I Inform the opposing team. The protesting team shall then deliver in
writing a copy of the protest no later than forty-eight (48) hours from the end
of the game to the League President. A
$25.00 protest fee shall accompany the protest.
If the protest is upheld the $25.00 will be refunded. (Revised June 6, 1996)
Section
11.
Any decisions made at the league
meetings for that sport shall be final.
Any representative has the right to call for a vote to decide any
decisions.
Section
12.
Any rules changed shall be done at
the beginning of the sporting event season by the coaches of that sporting event
in majority vote.
Amendment
to Section 12.
Board of Directors has the right to overrule any
decisions made under Section 12.
Section
13.
A copy of the Bylaws and league
rules shall be distributed to each community by their representative.
Section
14.
Any officer or Director not
fulfilling his/her duties or causing harm to the Wilson County Youth Athletic
Association may be expelled from office by a majority vote during Director’s
meeting. (Revised June 6, 1996)
Section
15.
To further help decision making
bylaws from all communities should be submitted to aid in decisions.
Section
16.
A quorum shall consist of eight (8)
members. No action shall be taken
without a quorum present.
ARTICLE V
INCOME & EXPENSES
Section 1.
Sources of income will
be fund raising activities, concession sales, contributions, other exempt
agencies, admissions, registration fees and sponsors. Approval of any program will require a
two-thirds (2/3) vote of those present and eligible to vote provided there is a
quorum present. The approved programs
will be administered by volunteer committees.
Section 2.
Disbursements of
funded for expenses shall not be on a pro rata basis, but according to the need
of the particular approved sport or activity as approved by the Board of
Directors. Approval or expenditures will
require a two-thirds (2/3) vote of those present and eligible to vote provided
there is a quorum present.

2.
Amendments
of these Bylaws may be made by the Board of Directors at any regular meeting or
at any special meeting by a two-thirds (2/3) vote of those present and eligible
to vote provided there is a quorum present.
ARTICLE VII
DISSOLUTION
Section 1.
Upon dissolution of the Corporation,
the Board of Directors shall, after paying or making provisions for the payment
of all of the liabilities of the Corporation, dispose of all the assets of the
corporation exclusively for the purpose of the Corporation in such manner, or
to such organization or organizations organized and operated exclusively for
charitable, educational, religious or scientific purposes and shall at the
time, qualify as an exempt organization or organizations under Section
501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provisions
of any future United States Internal Revenue Law) as the Board of Directors
shall determine, as such assets not disposed of by the Court of Common Pleas of
the county in which the principal office of the corporation is then located,
esxclusive3ly for such purpose or to such organization or organizations as such
court shall determine which are organized and operated exclusively for such
purpose.

THE FOLLOWING BYLAW CHANGES OR AMENDMENTS WERE CHANGED AT THE OCTOBER 1992 MEETING AT BILL’S BARBECUE.
ARTICLE IV
Section 17.
Voting for the elected officers
(President, Vice President, Secretary and Treasurer) each community will have
two (2) votes in the election with the representative being one (1) vote and
the President of each community Booster Club being one (1). If the Booster Club President cannot attend
the election, the he/she may designate someone to vote. Total votes twelve (12). If there is a tie, the past year’s elected
officers (President, Vice President, Secretary and Treasurer) will have the
deciding vote to break the tie (all four (4) votes as a single vote). (Revised June 6, 1996)
Section
18.
The six (6) representatives from the
six (6) communities shall make up a nominating committee to develop a slate of
officers for the election. They will
meet prior to the February election meeting.

Section
19.
No player may switch to another
community unless his/her residence changes.
Existing player changes are grandfathered. Each player in the County is tied to his/her
school district. Players living within
the City Limits and not attending County elementary schools are free to sign up
at any WCYAA community initially.
Once a player plays with one (1) of
the six (6) WCYAA Communities, he/she is bound to that particular community.
Special requests to change
communities must be made to the WCYAA President in written form and then
brought before the entire WCYAA Board.
If a player is caught playing a
sport out of his/her community illegally, a special meeting by the WCYAA Board
will be held to review the situation. If
a complaint is lodged by another community, the complaint must be made within forty-eight
(48) hours to the League President and then the WCYAA Board will meet with all
involved parties. (Revised December

Section
20.
All coaches, players, spectators and
umpire3s that are involved in fighting, cursing, communicating threats or
unsportsmanlike conduct will be dismissed from coaching, umpiring or attending
any sporting event the WCYAA promotes.
Punishment could range from probation to indefinite suspension.
Section
21.
Bylaw changes concerning the
election of officers and qualifications of officers are as follows:
This change alters Article IV,
Section 17 of the Wilson County Youth Athletic Association, Inc. Bylaws.
Board to consist of thirteen (13) members President and two (2) representatives from each community, Vice President, Secretary and Treasurer will be elected from among the two (2) representatives from each community. This election will be no later than the first week in March.
Election of the President will be at
the February meeting. The two (2)
representatives from each community (12 total) will vote in the election of

A.
President
cannot hold office of Community Booster Club President at same time as
President of WCYAA.

must have a proven interest in the WCYAA

President
must be a leader and not have an occupation that is a bad influence to the
Youth of Wilson County.

THE FOLLOWING BYLAW CHANGE WAS MADE AT THE MAY 12, 1996 WCYAA BOARD MEETING HELD AT THE LUCAMA ELEMENTARY SCHOOL BALLFIED CONCESSION STAND. THIS CHANGE AFFECTS BYLAW ARTICLE IV, SECTION 19.
The Bylaw will now read as follows:
ARTICLE IV

DEPARTMENT.
The changed Bylaws read as follows:
ARTICLE IV

Based on approval of funds by the Wilson County Board of
Commissioners, resumes will be accepted in June of each year for the position
of Athletic Director. The Executive
Board will screen resumes and applicant will be hired by full Board with a
two-thirds (2/3) vote. A contract will
be signed by Executive Board and Athletic Director. The Athletic Director will assume the
position by July 1.
Section 2.
Players trying out for WCYAA sanctioned All-Star teams
(includes select teams) will be chosen by a committee of six (6) coaches of
that particular age group. The head
coach will be picked by the coaches and approved by the WCYAA Board
Members. The head coach will be the
tiebreaker if there is a tie in the selection of the players.
